Master Agreement

(Version 1.0 – Effective from 29 April 2025)

This Master Agreement governs the provision of hardware equipment and associated services by Insource IT (ABN: 69 607 908 332) to any customer (“Client”) who accepts a quote referencing this Agreement.

By accepting a quote from Insource IT that references this Agreement, the Client agrees to be bound by the terms and conditions below.

1. PURPOSE

This Agreement sets out the general terms and conditions under which Insource IT provides leased hardware and related services. Each individual engagement is governed by a separate quote issued by Insource IT, which references this Agreement and details the specific equipment, lease term, pricing, and inclusions.

2. LEASE TERM

The lease term for each item of Equipment is specified in the individual quote accepted by the Client. This Agreement governs all Equipment supplied by Insource IT under such quotes and continues in effect unless terminated per Section 9.

3. QUOTE ACCEPTANCE

  • Each quote referencing this Agreement outlines the hardware, services, lease term, and pricing.
  • Acceptance of a quote constitutes agreement to both the quote terms and this Master Agreement.
  • Acceptance may be provided via email, digital signature, or any written confirmation.

4. OWNERSHIP

  • All Equipment provided under this Agreement remains the sole property of Insource IT.
  • The Client must not sell, lease, transfer, modify, or otherwise encumber the Equipment.
  • The Equipment must be kept in good working order and returned at the end of the lease unless purchased under agreed terms.

5. SERVICES INCLUDED

Unless otherwise stated in the quote, the monthly lease includes:

  • Initial hardware configuration and deployment
  • Ongoing support, monitoring, and maintenance
  • Replacement of faulty equipment due to normal wear and tear
  • Software and firmware updates (where applicable)
  • Scheduled health checks and performance monitoring

Exclusions include:

  • Loss, theft, or damage due to misuse or environmental conditions

Repairs required due to unauthorized tampering

6. FEES & BILLING

  • Monthly pricing is defined in the accepted quote.
  • Invoicing occurs monthly in advance.
  • All prices are exclusive of GST unless otherwise stated.
  • Late payments may incur a 5% penalty fee and may result in service suspension.

7. RISK & INSURANCE

  • Risk in the Equipment passes to the Client upon delivery.
  • The Client is responsible for insuring the Equipment at full replacement value.
  • The Client is liable for costs associated with stolen, lost, or irreparably damaged Equipment.

8. END-OF-TERM OPTIONS

Upon completion of the lease term (as per quote), the Client may:

  • Return the Equipment to Insource IT in reasonable condition,
  • Extend or renew the lease, or
  • Purchase the Equipment at its fair market value (as determined by Insource IT).

9. TERMINATION

This Agreement may be terminated:

  • By either party with 30 days’ notice (effective after all active lease terms conclude), or
  • Immediately if either party materially breaches the Agreement and fails to remedy the breach within 14 days.

If a lease is terminated early by the Client, all remaining fees for the quoted term will become immediately due.

10. WARRANTIES & LIABILITY

  • Insource IT warrants that the Equipment will operate as intended under normal use.
  • Liability is limited to the total fees paid under the applicable quote in the prior 12 months.
  • Insource IT is not liable for any indirect or consequential loss.

11. CONFIDENTIALITY

Each party agrees to maintain the confidentiality of any sensitive or proprietary information exchanged under this Agreement or any related quote.

12. GENERAL

  • This Agreement is governed by the laws of Western Australia.
  • If any provision is unenforceable, the remainder shall remain valid.
  • Insource IT may update this Agreement from time to time. The version referenced in the quote at time of acceptance will govern that engagement.

NOTE:
This Agreement is referenced in all quotes issued by Insource IT for hardware leasing and support services. Acceptance of a quote constitutes agreement to this Master Agreement.
